What is a Certificate of Incumbency?

A certificate of incumbency is a business document that lists the names of the directors, officers, and, sometimes, key shareholders.

When getting ready to do business in another country, you may have to establish accounts with financial and legal institutions. They will want to ensure the person you send is allowed to represent your company. And that’s what the certificate of incumbency does. It confirms who has the authority to make agreements on behalf of the company.

It often includes:

• Director’s and officer’s names
• Position in the company
• Election status
• Term or length of position
• Sample of each person’s signature

But simply having the document is not enough. You must also apostille a certificate of incumbency to be recognized by the foreign country.

How to Apostille a Document

An apostille authenticates the signatures and seals of the document and is recognized by countries that are members of the Hague Convention of 1961. This means that once apostilled, your destination country will accept the Certificate of Free Sale as a true copy of the original.

For countries not members of the Convention, your documents still need to acquire embassy legalization of your destination country.

The steps needed to obtain an apostille are:

• You must first have the original or certified copy of the Certificate of Incumbency.
• Submit the apostille application and certificate to the Secretary of State where the business is located.
• Suppose the receiving country is not a member of the Hague Convention of 1961. In that case, you will submit the certificate and the apostille to the U.S. Department of State in Washington, D.C., and then to the Embassy or Consulate to legalize the documents.
• If the receiving country requires it, you may also need to have all documents translated into the correct language.
